Who Really Owns Vorlux Seating? Public Records Point to a China-Owned Company
Vorlux presents itself to U.S. consumers as a premium home theater seating brand, with U.S. warehouse shipping, a U.S. toll-free number, and customer-facing operations in the United States.
But public corporate records tell a much clearer story about who actually owns the business.
The company behind Vorlux is Hong Kong Pathegas International Development Co., Limited, a Hong Kong private company formed in June 2025. Vorlux’s own privacy policy identifies that company by name and provides its Hong Kong address and telephone number. The contact information the most clicked upon area says they are located in California. The disclosure in privacy is a link at the bottom.

More importantly, official Hong Kong Companies Registry records show that the company was founded and controlled by individuals residing in mainland China.
The Hong Kong Company Behind Vorlux
Hong Kong Pathegas International Development Co., Limited was incorporated on June 20, 2025.
Its original share capital was HK$10,000, divided into 10,000 ordinary shares.
Original Ownership
At incorporation, the shares were divided as follows:
- Xiong Chao / 熊超 — 8,100 shares, or 81%
- Tang Cuiyun / 唐翠雲 — 1,900 shares, or 19%
Xiong Chao’s address in the Hong Kong incorporation filing was:
No. 11, Xiongjiawan, Xiayinshan, Chashan Village,
Bao’an Town, Daye City,
Hubei Province, China
Tang Cuiyun’s address was:
No. 42, Xingyuan Street, Wu’an Town,
Nanzhang County,
Hubei Province, China
Xiong Chao was also listed as the company’s first director. The filing identifies his passport as being issued by China.
Ownership Changed in 2026
The company’s 2026 annual return shows that on April 21, 2026, Tang Cuiyun transferred her 1,900 shares to Xiong Chao.
That left Xiong Chao holding all 10,000 shares.
As of the latest Hong Kong corporate records we reviewed, Hong Kong Pathegas International Development Co., Limited is 100% owned and controlled by Xiong Chao, a mainland China resident.
Why This Matters
There is nothing illegal about a Chinese-owned company selling furniture directly to American consumers.
The issue is transparency.
A shopper visiting Vorlux may reasonably assume it is a U.S.-based furniture company because the brand markets through a U.S. website, provides a U.S. toll-free number, and promotes fast shipping from California and New Jersey.
But the legal ownership structure is different.
The public record shows:

↓
Originally owned 81% by Xiong Chao and 19% by Tang Cuiyun

Both founders listed mainland China addresses

Now 100% owned by Xiong Chao
In practical ownership terms, Vorlux is a China-owned direct-to-consumer furniture brand operating through a Hong Kong company.
The U.S. Warehouse Does Not Mean Vorlux Is U.S.-Owned
Vorlux lists 6509 Kimball Avenue, Chino, California as a U.S. address and states that some products ship from California or New Jersey.
That does not mean Vorlux owns those warehouses.
Public records show that the Chino address is part of a large third-party logistics operation used by multiple companies, including China- and Hong Kong-linked ecommerce sellers.
The same general model is increasingly common in cross-border ecommerce:
China or Hong Kong company
↓
Inventory imported into the United States
↓
Third-party logistics warehouse
↓
Shopify or direct-to-consumer website
↓
U.S. customer
This allows an overseas business to look and operate much like a domestic retailer without maintaining a traditional U.S. headquarters, showroom network, or company-owned distribution center.
Vorlux Was Created Recently
The timing is also worth noting.
The Vorlux website appeared in 2025.

Hong Kong Pathegas was incorporated on June 20, 2025.
The company later obtained a U.S. furniture trademark covering seating furniture, sofas, custom furniture, leather furniture, and related products.
That means the legal company behind the brand is relatively new, even though Vorlux marketing and third-party reviews have referenced much longer experience in furniture development and manufacturing.
If that longer history is accurate, it likely belongs to an older mainland China manufacturing, sourcing, or furniture-development operation behind the brand rather than to Hong Kong Pathegas itself.
We have not yet identified that older operation conclusively.
A Possible Mainland Furniture Connection
One additional public-record lead is Zhongshan Jinxiong Furniture Co., Ltd., a furniture manufacturing company formed in Guangdong Province in March 2026.
Its legal representative and 51% shareholder is also named Xiong Chao.
The company’s registered business scope includes:
- Furniture manufacturing
- Furniture sales
- Furniture parts and accessories
- Hardware products
- Furniture installation and maintenance
- Internet sales
The name, timing, and business activity are notable.
However, we have not yet obtained enough identifying information to prove that the Xiong Chao associated with Zhongshan Jinxiong Furniture is the same Xiong Chao who owns Hong Kong Pathegas.
For that reason, we consider this a strong lead, not an established fact.
The Larger Trend: The Factory Is Becoming the Retailer
Vorlux may be part of a larger change taking place in the furniture industry.
For decades, Chinese factories primarily manufactured furniture for American brands, distributors, and retailers.
Today, some manufacturers and sourcing groups are moving closer to the consumer.
Instead of simply manufacturing a chair for an American retailer, an overseas company can now:
- Create a U.S.-facing brand
- Launch a Shopify store
- Market through YouTube, social media, and influencers
- Import inventory into third-party U.S. warehouses
- Offer U.S. toll-free customer service
- Sell directly to American consumers
That changes the competitive landscape.
The manufacturer is no longer only the supplier.
It can also become the brand, importer, marketer, and retailer.
What Consumers Should Know
The issue is not whether a company is Chinese.
The issue is whether consumers understand who they are buying from.
Before purchasing expensive furniture online, shoppers should consider:
- Who legally owns the brand?
- Where is the company organized?
- Who handles warranty claims?
- Where will replacement parts come from?
- Does the company have a long-term operating presence in the United States?
- Is the U.S. address an actual company office or simply a third-party warehouse?
Bottom Line
In Vorlux’s case, the public record now provides a fairly clear answer to the ownership question.
Vorlux is operated through a Hong Kong company that is wholly owned and controlled by a mainland China resident.
That fact does not determine whether Vorlux products are good or bad.
But it is an important fact consumers should be able to understand when evaluating the company behind the brand.
